Terms & Conditions

These Terms & Conditions ("Terms") govern your use of BizVital, a software-as-a-service platform operated by Agilec Technology Sdn Bhd("we", "us", "our"), registered in Malaysia. By creating an account or using the service you agree to these Terms on behalf of yourself and the organization you represent.

1. The service

BizVitallets organizations upload or connect business data, configure AI "stakeholder" agents, and generate AI-assisted analyses, discussions, and recommendations. AI output is generated by third-party model providers using API keys your organization supplies.

2. Accounts and organizations

• You must provide accurate registration information and keep your credentials secure.
• The first user of an organization becomes its Owner; Owners and Admins control members, invites, and API keys.
• You are responsible for all activity under your organization's account.

3. Bring-your-own-key (BYOK)

• Your organization supplies its own API keys for AI providers (Anthropic, OpenAI, Google, or others we support).
• You are responsible for complying with each provider's terms and for all usage charges billed by those providers.
• We store keys encrypted and use them only to perform analyses you initiate.

4. Your data

• You retain all rights to data you upload or connect. You grant us a limited licence to process it solely to provide the service.
• You confirm you have the right to upload the data and that it does not infringe third-party rights or applicable law.
• Data submitted for analysis is transmitted to the AI provider whose key you configured.

5. Acceptable use

You must not use the service to:

• process data you have no right to process, or violate any applicable law;
• attempt to access other organizations' data or circumvent plan limits or security controls;
• transmit malware, conduct denial-of-service activity, or abuse connectors to attack third-party systems;
• resell the service without our written consent.

6. AI output disclaimer

AI-generated commentary, recommendations, and verdicts are informational only. They may be inaccurate or incomplete and are notprofessional financial, legal, tax, or investment advice. You are solely responsible for decisions made based on the service's output.

7. Plans, fees and changes

• Plan features and limits are described on our pricing page and may be tailored per organization.
• Fees are stated in Malaysian Ringgit (RM) unless otherwise agreed. Taxes are your responsibility where applicable.
• We may modify pricing or plan limits prospectively with reasonable notice; promotional "founding" rates stay in effect for continuously active subscriptions as advertised.
• Refunds are handled per our Refund Policy.

8. Suspension and termination

• We may suspend an organization that breaches these Terms, fails to pay, or poses a security risk; we will state the reason in-app.
• You may stop using the service at any time. On written request we will delete your organization's data, subject to legal retention requirements.

9. Availability and changes to the service

The service is provided "as is" and "as available". We work to keep it reliable but do not guarantee uninterrupted availability and may improve or modify features over time.

10. Limitation of liability

To the maximum extent permitted by Malaysian law, our total aggregate liability arising out of or relating to the service is limited to the fees your organization paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential losses, loss of profits, or losses arising from decisions made in reliance on AI output, or from third-party AI providers' acts or omissions.

11. Governing law

These Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute.
